Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Mando (“Mando”, “we”, “us”, or “our”) and govern your access to and use of our website and Mandarin learning application (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service, and old enough to form a binding contract in your jurisdiction. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

2. The Service

Mando generates Mandarin lessons at your level, with audio, translations, and progress tracking, and offers an optional live AI tutor. We may add, modify, suspend, or discontinue features at any time. Some features are subject to usage limits that depend on your plan.

3. Accounts

You are responsible for the information you provide, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. You may delete your account at any time.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or abusive purpose.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, other accounts, or our systems, or circumvent usage limits or security measures.
• Scrape, copy, or harvest content or data from the Service except as expressly permitted.
• Resell, sublicense, or commercially exploit the Service without our permission.
• Use the Service to develop a competing product or to train competing models.

5. Plans, billing, and cancellation

Some features require a paid subscription. Paid plans are not yet available; when they launch, the price, billing period, and renewal and cancellation terms will be disclosed at the point of purchase, and payment will be handled by a third-party processor. Unless stated otherwise, subscriptions renew automatically until cancelled, you may cancel at any time effective at the end of the current billing period, and fees are non-refundable except where required by law.

6. AI-generated content

Lessons, dialogues, readings, translations, and tutor responses are generated by artificial intelligence. They are provided for language practice only, may be inaccurate or incomplete, and are not professional, translation, medical, legal, or other expert advice. You are responsible for how you use AI-generated output and should verify anything important.

7. Intellectual property

The Service, including its software, design, branding, and content (excluding content you provide), is owned by Mando or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own language learning.

8. Your content and feedback

You retain ownership of the text and inputs you submit. You grant us a license to use that content as needed to operate and improve the Service. If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.

9. Third-party services

The Service relies on third-party providers (for example, AI, speech, hosting, authentication, and, in the future, payments). Your use of those features may also be subject to the third parties’ terms, and we are not responsible for third-party services.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if necessary to protect the Service or other users, or if required by law. Provisions that by their nature should survive termination will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will produce any particular learning outcome.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MANDO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100.

13. Indemnification

You agree to indemnify and hold harmless Mando from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Subject to Section 15, you and Mando agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York for any dispute not subject to arbitration.

15. Dispute resolution and arbitration

Please read this section carefully, as it affects your rights. First, we encourage you to contact us so we can try to resolve any dispute informally. If we cannot resolve it within 30 days, you and Mando agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, seated in New York, New York, under the Federal Arbitration Act, rather than in court, except that either party may bring a claim in small-claims court or seek injunctive relief to protect intellectual property.

Class-action waiver. Disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms.

16. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide additional notice where appropriate. Your continued use of the Service after changes take effect means you accept the updated Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Mando regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
